Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and FortiVix Technologies LLC (“FortiVix,” “we,” “us,” or “our”) governing your use of DispatchAI, including the mobile app, the manager dashboard, the guardcopilot.com website, and any related services (collectively, the “Service”).

Read these Terms carefully. They include an arbitration agreement and a class action waiver that affect your legal rights. By creating an account or using the Service, you agree to these Terms.

Eligibility

To use DispatchAI, you must:

• →Be at least 18 years old
• →Hold a current, valid security guard license issued by a U.S. state or meet your state’s equivalent requirement (or, in the case of managers, hold a valid PPO license or security guard license)
• →Have the legal authority to enter into these Terms in your state of residence
• →Not be prohibited from using the Service under any applicable law or court order

DispatchAI is a private service for verified security professionals. We may verify your license against public state databases or require you to upload a photo of your license card. We may suspend or terminate your account at any time if we cannot verify your license.

Your account

You are responsible for keeping your login credentials confidential and for any activity on your account. Notify us immediately at rajhni@fortivix.com if you suspect unauthorized access.

One account per person. You may not share your account, sell it, transfer it, or let anyone else use it. If you are a manager with a company plan, you may invite guards to join your plan, but each guard must create their own verified account.

Subscription and billing

DispatchAI is a paid service.

Individual Guard Plan — $9.99 per month, billed monthly. Includes full AI dispatcher access, Guard Network, body camera, tactical map, incident reports, and all other guard-side features.

Company Plans — pricing varies by guard seat count. A manager subscribes on behalf of their company and adds guards via invite link.

By subscribing, you authorize us to charge your payment method on the same day each month (or year, for annual plans) until you cancel. Your subscription automatically renews at the end of each billing period at the then-current rate.

We will send you a reminder email before each renewal. If we increase the price, we will notify you at least seven days before the new price takes effect, and the notice will include instructions on how to cancel.

Cancellation

You can cancel your subscription at any time from inside the app (Profile → Subscription → Cancel) or by emailing rajhni@fortivix.com. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for mid-period cancellations except where required by law.

If you used the method inside the app to subscribe, you can use that same method to cancel. We will not require a phone call, a retention agent, or any other extra step. This is a legal requirement under California’s Automatic Renewal Law, and we comply with it.

License to use the Service

We grant you a limited, personal, non-exclusive, non-transferable license to use the Service for your legitimate work as a licensed security professional. This license is conditional on your continued compliance with these Terms.

You may not:

• →Reverse-engineer, decompile, or attempt to extract the source code
• →Use the Service to harass, stalk, dox, or threaten anyone
• →Post misleading, false, or defamatory content on the Guard Network
• →Impersonate another guard, officer, or public official
• →Use the Service to coordinate or perform any unlawful act
• →Resell, sublicense, or rent access to your account
• →Use the Service to train any artificial intelligence or machine learning model
• →Use automated tools to scrape, spider, or extract data from the Service
• →Attempt to access another user’s account or bypass security controls

Violation of any of these rules is grounds for immediate account termination and may result in civil or criminal liability.

Recording consent and two-party consent laws

DispatchAI includes features that record audio and video — the body camera, the LISTEN feature, and live streaming.

You are solely responsible for complying with the recording laws in your state. Many states, including California, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, and Washington, require all parties to a conversation to consent before it can be recorded.

Before activating any recording feature in a location where recorded individuals have a reasonable expectation of privacy, you must obtain their consent. We will display a consent banner the first time you activate the body camera or LISTEN feature. You acknowledge that you have read and understand that banner.

FortiVix is not responsible for recordings made by you in violation of applicable law. You agree to indemnify us against any claim arising from your unlawful recording.

AI dispatcher — important disclaimer

DispatchAI is an AI-powered tool designed to support your decisions on shift. It is not a replacement for your own judgment, your training, your employer’s policies, or emergency services.

Specifically:

• →DispatchAI’s threat scores are estimates, not guarantees. A score of ROUTINE does not mean a situation is safe. A score of CRITICAL does not guarantee imminent danger.
• →DispatchAI’s escalation countdown is a prompt, not an action. DispatchAI will not contact 911 without your affirmative confirmation.
• →If you are in an emergency, call 911 yourself. Do not rely on DispatchAI to make that call for you.
• →DispatchAI’s state compliance data is current as of the date loaded and is not a substitute for legal advice.
• →You remain solely responsible for decisions you make on shift, including use of force, arrests, detentions, and reporting obligations.

If the service is unavailable due to network outage, software bug, or any other reason, you must continue to follow your employer’s protocols and your state’s laws. FortiVix is not liable for damages arising from service interruptions.

Content ownership

You own the content you create — your messages, posts, photos, videos, and incident reports. By using the Service, you grant FortiVix a limited license to store, process, and display that content as necessary to operate the Service (for example, showing your Guard Network posts to other verified guards, or generating an incident report from your body cam footage).

FortiVix owns the Service itself — the software, the AI system prompts, the design, the brand, and everything we build. Your license to use the Service does not give you any ownership of it.

Third-party services

The Service integrates with third-party providers including Anthropic (AI), Agora (live streaming), ElevenLabs (voice), OpenAI (transcription), Supabase (hosting), Twilio (SMS), and Stripe (payments). Each has its own terms and privacy policy. We are not responsible for their practices, and any disputes between you and a third-party provider are between you and them.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

NOTHING IN THIS SECTION LIMITS ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORTIVIX AND ITS OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO THE ABOVE LIMITS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold FortiVix harmless from any claim arising out of your use of the Service in violation of these Terms or applicable law, including your violation of recording consent laws, your posting of unlawful content, or your misuse of information obtained through the Guard Network.

Arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration, not in court, except that either party may bring a claim in small claims court if the claim qualifies.

The arbitration will be administered by JAMS under its Streamlined Arbitration Rules, in the county where you live, or telephonically if you prefer. The arbitrator will apply California law.

YOU AND FORTIVIX EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. Claims may be brought only in an individual capacity.

If any part of this section is found unenforceable, the rest of the section remains in effect. This clause does not apply to claims for public injunctive relief under California law or to any claim that the Federal Arbitration Act does not cover.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing rajhni@fortivix.com with the subject line “Arbitration Opt-Out” and your full name and account email. Opting out of arbitration does not affect any other part of these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute not subject to arbitration will be brought in state or federal court in Los Angeles County, California, and you and FortiVix consent to the jurisdiction of those courts.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, if your license verification fails or lapses, if we are required to do so by law, or if we discontinue the Service.

Upon termination, your right to use the Service ends immediately. Your content and incident reports remain in our system for the retention periods described in the Privacy Policy.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and through a notice in the app at least 30 days before the changes take effect. Continued use of the Service after changes take effect means you accept the updated Terms. If you do not accept the updated Terms, you must stop using the Service and cancel your subscription.
